Extraordinary Board of Directors Meeting
14 March 2012

The meeting was called to order at 8.00 a.m.
Presiding: Dick Hennig – Vice President
Attending: Ed Tisdale – Secretary, Dave Crocker and Paula Markert
Absent: Susan Sciullo – Treasurer, John Pappas, Everett Bedenbaugh, President.
Members: None

Key Decisions and Information:
1.        Attempts to contact Susan and John via conference call were unsuccessful but the meeting proceeded
with 4 Board members, a quorum.
2.        The only item on the agenda of this extraordinary Board Meeting was the offer to buy Lot 25, Section 3
by Everett Bedenbaugh, President, with the request that the sale would only be completed if Everett was
allowed to consolidate Lot 25 with his adjoining lot.
3.        After much discussion, the outcome of the meeting was to reject the proposal of consolidation since it
would be contrary to existing rules regarding consolidation. Lot 25 did pass a perk test and was a buildable lot
and therefore would be excluded from the conditions that apply to consolidation.
4.        The Board had no objection to Everett purchasing the lot for the price offered but, if purchased, it would
be subject to assessment fees like any other lot.
5.        Board members present expressed the view that the recently created rules regarding consolidation and
ratified at the 2011 Annual Membership meeting should be upheld and that no exception should be made in this
case.
6.        The Board members voted 3 to 1 against allowing Everett to consolidate Lot 25 if he purchased it.

Lot Consolidation (added 2011)

The criteria to allow lot consolidation would be to accommodate those lots that may not percolate for septic
installation; therefore, if a lot will not perk for a minimum of a two bedroom home, the Board will consider
consolidating two lots into one. The owner will incur all closing cost including but not limited to surveying and re-
platting of the said lots and a fee payable to the Club of _5_ years of annual dues at the time of the
consolidation.
